End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legally binding agreement between you ("User," "you") and Marine Diagnostic Tools LLC, a South Carolina limited liability company ("MDT," "we," "our"), governing your use of the MDT Learning platform, including all associated software, content, services, and updates (collectively, the "Software").

By accessing, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, you must immediately cease all use of the Software. If you are accepting this EULA on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. License Grant

Subject to your compliance with this EULA, MDT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Software via a supported web browser for the purpose of completing training courses assigned to or purchased by you
  • View, interact with, and complete course content, assessments, and learning activities
  • Download certificates of completion for courses you have successfully finished
  • Export your personal learning data in the format provided by the platform

This license is personal to you and is limited to the account issued to you. You may not transfer, assign, or share your license or account credentials with any third party.

3. Restrictions

You agree that you will NOT:

  • Copy, reproduce, distribute, publish, display, perform, or create derivative works from any course content, training materials, assessments, or other intellectual property available through the Software
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Software for any unlawful purpose or in violation of any applicable law or regulation
  • Use automated tools, scripts, bots, scrapers, or crawlers to access, download, or interact with the Software or its content
  • Circumvent, disable, or interfere with any security, authentication, access control, digital rights management, or course completion tracking features
  • Share, publish, or redistribute your account credentials, session tokens, API keys, or any authentication mechanism
  • Impersonate another user, fabricate completion records, or manipulate assessment results
  • Upload, transmit, or introduce any malicious code, virus, trojan, worm, or other harmful material
  • Probe, scan, or test the vulnerability of the Software or any connected system without express written authorization
  • Use the Software to store, transmit, or process data that violates any third party's intellectual property, privacy, or other rights
  • Attempt to gain unauthorized access to any other user's account, data, or administrative functions
  • Resell, sublicense, rent, lease, or commercially exploit the Software or any content accessed through it

4. Intellectual Property

The Software, including all course content, text, graphics, logos, icons, images, audio, video, assessments, software code, user interface design, and documentation, is the exclusive property of MDT or its content licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your license to use the Software does not convey any ownership interest in or to the Software or any content. All rights not expressly granted in this EULA are reserved by MDT. No implied licenses are granted.

Course content may include materials licensed from third-party content providers. Such materials are subject to additional license restrictions which apply to you as an end user. You may not extract, isolate, or repurpose third-party content from the platform.

5. User Content and Data

You retain ownership of any original content you create within the Software (such as assessment responses or notes). By submitting content through the Software, you grant MDT a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of operating the platform and providing the service.

Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated by reference into this EULA.

6. Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials and two-factor authentication devices
  • All activities that occur under your account, whether or not authorized by you
  • Immediately notifying MDT at security@marinediagnostictools.com if you suspect unauthorized access to your account

MDT reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of this EULA, or poses a security risk to the platform or other users.

7. Certificates

Certificates of completion issued by the Software certify only that the named individual completed the specified course through the MDT Learning platform. Certificates:

  • Are non-transferable and represent completion by the named individual only
  • Do not constitute professional licensure, certification, or regulatory compliance unless explicitly stated
  • May be revoked if MDT determines they were obtained through fraud, cheating, account sharing, or violation of this EULA
  • Should not be relied upon as a substitute for manufacturer-specific training, professional judgment, or regulatory requirements

8. Updates and Modifications

MDT may, at its sole discretion, update, modify, or discontinue the Software or any feature thereof at any time without prior notice. Updates may include bug fixes, security patches, new features, or removal of existing features. Continued use of the Software after any update constitutes acceptance of the updated version.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MDT EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MDT does not warrant that the Software will be uninterrupted, error-free, secure, or free of viruses or other harmful components. MDT does not warrant the accuracy, completeness, or reliability of any course content, and course content is provided for educational and informational purposes only.

No advice or information, whether oral or written, obtained from MDT or through the Software shall create any warranty not expressly stated in this EULA.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MDT, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF MDT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MDT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MDT FOR ACCESS TO THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, MDT's liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MDT and its officers, directors, members, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Software; (b) your violation of this EULA; (c) your violation of any applicable law or regulation; or (d) your violation of any third party's rights.

12. Termination

This EULA is effective until terminated. MDT may terminate or suspend your license and access to the Software at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Software ceases immediately
  • You must cease all use of the Software and destroy any copies in your possession
  • MDT may retain your data in accordance with the Privacy Policy
  • Sections 3, 4, 9, 10, 11, 13, 14, and 15 of this EULA shall survive termination

You may terminate this EULA at any time by ceasing all use of the Software and requesting account deletion.

13. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to this EULA shall be resolved exclusively in the state or federal courts located in Richland County, South Carolina, and you consent to the personal jurisdiction and venue of such courts.

You agree that any cause of action arising out of or related to the Software must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

14. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This EULA, together with the Privacy Policy, Terms of Service, and DMCA Policy, constitutes the entire agreement between you and MDT with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Software.

No waiver of any term or condition of this EULA shall be deemed a further or continuing waiver of such term or any other term. MDT's failure to assert any right or provision under this EULA shall not constitute a waiver of such right or provision.
