Terms of Service

1. Acceptance of Terms

By accessing or using the MDT Learning platform ("Service") operated by Marine Diagnostic Tools LLC, a South Carolina limited liability company ("MDT," "we," "our"), you agree to be bound by these Terms of Service ("Terms"), our End User License Agreement, Privacy Policy, and DMCA Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. The Service is designed for professional marine industry training; consumer protection laws applicable to consumer products may not apply.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials and any two-factor authentication devices or recovery codes.
  • You must not share your account with others or allow unauthorized access.
  • You must notify us immediately at security@marinediagnostictools.com of any unauthorized use of your account.
  • You must provide accurate and complete information during registration and keep it updated.
  • You are responsible for all activities that occur under your account.
  • MDT recommends enabling two-factor authentication for additional account security.

4. Acceptable Use

You agree not to:

  • Copy, distribute, reproduce, republish, or create derivative works from course content without written authorization
  • Circumvent, disable, or tamper with course completion tracking, assessment systems, or any security features
  • Upload malicious files, code, or content to the platform
  • Access or attempt to access other users' accounts, data, or administrative functions
  • Use automated tools, scripts, bots, scrapers, or crawlers to access or download content
  • Interfere with the proper functioning, security, or availability of the Service
  • Probe, scan, or test the vulnerability of any system or network connected to the Service
  • Attempt to inject code, SQL, or scripts into any input field, URL parameter, or API request
  • Forge headers, impersonate another user, or manipulate identifiers to disguise the origin of any communication
  • Use the Service to transmit spam, chain letters, or unsolicited communications
  • Access the Service from jurisdictions where such access is prohibited by law

5. Intellectual Property

All course content, materials, trademarks, service marks, trade names, logos, and software on the platform are the property of MDT or our content licensors and are protected by applicable intellectual property laws. Your enrollment grants you a limited, non-transferable, revocable license to access the courses you are enrolled in for your personal professional development, as further described in the EULA.

6. Certificates

Certificates issued by the platform confirm completion of training courses. Certificates are non-transferable and represent completion by the named individual only. Certificates do not constitute professional licensure or regulatory compliance. MDT reserves the right to revoke certificates obtained through fraud, cheating, or violation of these Terms.

7. Payment and Refunds

Access to courses may be provided through employer sponsorship, direct purchase, or third-party integration (such as GoHighLevel). Payment terms are governed by the applicable purchase agreement. MDT does not directly process payment card information; all payments are handled by third-party processors.

Refund requests must be submitted within 14 days of purchase to support@marinediagnostictools.com. Refunds are not available for courses that have been substantially completed (more than 50% progress).

8. Service Availability

MDT will use commercially reasonable efforts to make the Service available, but does not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security patches. We are not liable for any loss or damage resulting from Service unavailability.

9. Security Measures

MDT implements security measures including but not limited to: rate limiting, IP-based access controls, brute force detection, automated threat banning, webhook signature verification, input validation, and encryption. Users who trigger automated security measures (such as IP bans) due to suspicious activity may have their access temporarily or permanently restricted.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. While we strive for accuracy, course content is for educational purposes and should not replace manufacturer-specific guidance, professional judgment, or safety procedures. See the EULA for full warranty disclaimers.

11. Limitation of Liability

MDT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Service, including but not limited to damages resulting from the application of knowledge gained through our courses. MDT's total aggregate liability shall not exceed the greater of the amount you paid for the Service in the preceding 12 months or $100.00 USD. See the EULA for full liability limitations.

12. Indemnification

You agree to indemnify, defend, and hold harmless MDT and its officers, directors, members, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy. You may terminate your account at any time by requesting deletion.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Richland County, South Carolina. You consent to the personal jurisdiction and venue of such courts.

Any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues, or it is permanently barred.

15. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email and update the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force. MDT's failure to enforce any provision shall not constitute a waiver of that provision.

17. Entire Agreement

These Terms, together with the EULA, Privacy Policy, and DMCA Policy, constitute the entire agreement between you and MDT regarding the Service.
